Chevron is accepting online applications for the position of Legal Analyst located in San Ramon, CA through April 21, 2023 at 11:59 p.m. (Pacific Standard Time).
This Legal Analyst position is based in San Ramon, CA and is part of the Corporate Governance department.
Responsibilities for this position may include but are not limited to:
  • Provide support of all matters relating to the company’s insider trading window program and activities, which include managing the list of Global Leadership Form members, monitoring of preclearance requests, coordinating with outside vendors and internal stakeholders, reviewing and tracking of Rule 10b5-1 trading plans, preparing, reviewing and filing of Forms 3, 4, and 5 for Section 16 compliance and preparing and filing Form IDs with the U.S. Securities and Exchange Commission (SEC) to obtain EDGAR codes and updating EDGAR passwords
  • Assist with preparation of initial drafts and file Form 8-Ks with the SEC
  • Aid in Director Compensation activities, reporting and compliance
  • Assist with stock transfer activities and liaise with business units on stakeholder communications
  • Provide overlap support in the preparation, printing and dissemination of the proxy statement, planning and coordination of the Annual Meeting of Stockholders, and preparation and distribution of Board and Committee materials through the company’s board portal
  • Assist with filings with the California Secretary of State and New York Stock Exchange
  • Ability to independently organize and handle projects requiring high degree of confidentiality and the ability to review, analyze and compile results
  • Recommend, document and implement process improvements and simplification of tasks
  • Assist with special projects as needed; perform other related duties as assigned by management
Required Qualifications:
  • Bachelor’s degree or 5+ years of equivalent experience
  • Strong analytical, critical thinking and problem-solving skills, including the ability to identify, resolve and/or escalate issues and potential liabilities in a timely manner
  • Ability to maintain high quality performance with varied deadlines and competing priorities in a fast-paced work environment
  • Strong organizational, analytical, proofreading, editing and research skills
  • Strong attention to detail and accuracy
  • Demonstrated communications skills (both oral and written), including at the executive level
  • Strong interpersonal skills and collaborative mindset
  • Self-starter who is adept at working in a team environment and partnering with management, business partners, in-house counsel, outside counsel and staff
  • Proficiency in the Microsoft Office suite of tools
  • The successful candidate must be acutely aware of the confidential, and often privileged, nature of the information involved and diligently maintain confidentiality and/or privilege
Preferred Qualifications:
  • 5+ years’ experience as a paralegal in the areas of corporate governance and securities or as a stock administrator
  • Securities Law experience, particularly with Section 16 and Form 8-K filings
  • Familiarity with Diligent Boards, Workiva and Computershare Section 16 Manager
  • Corporate Governance research and writing experience

  • The anticipated salary range for this position is $112,200 – $168,400 . The selected candidate’s compensation will be determined based on their skills, experience, and qualifications.
