Associate General Counsel
The Associate General Counsel (Derivatives) position provides advice and counsel to Nuveen and TIAA investment management business leaders and their managed funds and accounts, including registered investment companies, institutional investors, private funds as well as TIAA accounts, relating to the structuring, negotiation and maintenance of derivatives agreements and relationships. This position is a key partner in the growth of Nuveen’s investment management business, which represents over $1 trillion in AUM (as of December 31, 2022) across a wide variety of asset classes, products and structures.
Key Responsibilities and Duties
The Associate General Counsel (Derivatives) position provides advice and counsel to Nuveen and TIAA investment management business leaders and their managed funds and accounts, including registered investment companies, institutional investors, private funds as well as TIAA accounts, relating to the structuring, negotiation and maintenance of derivatives agreements and relationships. This position is a key partner in the growth of Nuveen’s investment management business, which represents over $1 trillion in AUM (as of December 31, 2022) across a wide variety of asset classes, products and structures.
Key Responsibilities and Duties
- Negotiate trading, clearing and collateral documentation for cleared and uncleared swaps, as well as other qualified financial contracts (e.g., repurchase agreements).
- Coordinate with Front Office, Client Services, Operations, Compliance, Risk and Business Development colleagues in the establishment of such agreements on behalf of managed funds and accounts, including registered investment companies, institutional investors, private funds and TIAA.
- Coordinate with Nuveen Legal Department colleagues to standardize documentation for different client and account types.
- Provide legal support on internal governance committees overseeing the use of derivatives enterprise-wide.

Qualifications:
Required Qualifications:
-
5 years’ experience covering derivatives transactions and trading documentation at an international law firm or a large financial institution as a document negotiator or counsel and license to practice law required.
Preferred Qualifications:
-
Substantial experience in negotiating agreements governing the use of derivative instruments ( i.e., ISDAs, MSFTAs, etc.).
-
Ability to work independently of external counsel while structuring and negotiating trading agreements and individual transactions.
-
Familiarity with market documentation for QFCs, including ISDA Master Agreements, Repurchase Agreements, Futures & Options Agreements (and related cleared swap schedules), Securities Lending Agreements and other standard market agreements.

Specific knowledge of regulations for derivatives (CFTC, SEC, EMIR) is strongly preferred.

Strong business and commercial judgment; ability to guide Front Office colleagues in connection with document negotiation.

Demonstrated experience working with broker-dealer counterparties to accomplish business priorities.

Ability to prioritize and manage competing obligations in a thoughtful and constructive manner.

Understanding of Investment Advisers Act of 1940.

JD degree from an ABA-accredited law school and member in good standing of a state bar.

Strong verbal and written communication skills, interpersonal skills and organizational skills.

Ability to work both collaboratively and independently.

Advanced problem solving and prioritization skills.
Actual base salary may vary based upon, but not limited to, relevant experience, time in role, base salary of internal peers, prior performance, business sector, and geographic location. In addition to base salary, the competitive compensation package may include, depending on the role, participation in an incentive program linked to performance (for example, annual discretionary incentive programs, non-annual sales incentive plans, or other non-annual incentive plans).
